User General Terms of Service

Preamble

MIRIAD is a simplified joint-stock company (société par actions simplifiée) with a share capital of ten thousand (10,000) euros, whose registered office is located at 38, rue Réaumur - 75003 Paris, and registered with the Paris Trade and Companies Register under number 994 192 433.

MIRIAD makes available on its website miriad.studio (hereinafter the "Site") online tools and services, called "Services", designed to facilitate the sharing, annotation, validation and automation of documents for "Users", whether they are employees of client companies or organizations that have subscribed to MIRIAD, or individual users.

UNRESERVED ACCEPTANCE OF THESE GENERAL TERMS OF SERVICE BY THE USER, IN THEIR LATEST VERSION ACCESSIBLE AND CONSULTABLE ON THE SITE, IS REQUIRED IN ORDER TO SUBSCRIBE TO THE SERVICES.

1. Purpose

These General Terms of Service govern the conditions of Registration, Subscription and use of the Services offered by MIRIAD on the Site.

2. Definitions

For the purposes hereof, the following terms shall have the meaning set out below:

  • "User General Terms of Service" or "GTS": refers to these General Terms of Service governing the use of the Services offered by MIRIAD, whether free or paid.
  • "Registration": refers to the action by which a natural or legal person creates a User Account on the Site, allowing access to the free Services offered by MIRIAD.
  • "Subscription": refers to a Client's subscription to MIRIAD's paid Services, granting access to additional features under the terms of these GTS.
  • "Client": refers to any legal entity or natural person acting for professional purposes who has taken out a paid Subscription with MIRIAD.
  • "User": refers to any natural person holding a User Account on the Site, whether they have taken out a Subscription, benefit from a free Registration, or have been invited by a Client or another User.
  • "User Account": refers to the digital identity created upon Registration, which allows the User to access the Site, manage their profile, Registration, any Subscription, and use the Services offered by MIRIAD.
  • "Services": refers to all the features and offerings accessible to Users on the Site, whether free or paid, as described in Article 3 hereof.
  • "Site": refers to the website accessible at miriad.studio, encompassing all web pages, Services and features made available to Users.
  • "Content": refers to all visual, written or audible materials (images, videos, documents, files) produced, uploaded or shared by Users via the Site.

3. Description of the Services

3.1. Mere consultation of the Site, accessible without creating an account, is free and open to any visitor, subject to compliance with the applicable provisions of these General Terms of Service, in particular those relating to intellectual property and proper conduct.

3.2. Access to and use of the Services offered on the Site are reserved for registered Users with valid access in accordance with the terms hereof.

3.3. Access to the Services may vary depending on the type of Registration or Subscription taken out. Some tools and features are reserved for Users associated with a Client holding an active Subscription, while others are accessible free of charge, within the limits set by MIRIAD and detailed on the Site.

3.4. The Services offered to the User on the Site include a set of tools and features for collaborating around the creation of Content, allowing the User in particular to:

  • share files with authenticated third parties;
  • annotate and comment on Content;
  • approve and submit Content for approval as part of review processes;
  • connect to and synchronize Content with third-party tools, applications or services (in particular storage, project management, communication or Content creation tools), to the extent such interoperability is offered by MIRIAD. The nature, list and availability of these integrations may evolve at any time, at MIRIAD's sole discretion, without notice or compensation.

The third-party tools, services and platforms with which the Services may be interconnected are provided and operated by entities independent from MIRIAD. MIRIAD shall not be held liable for their availability, operation, evolution, terms of use or for the removal of their compatibility with the Services. The User is solely responsible for accepting the terms applicable to such third-party tools and for compliance with the related license terms.

The detailed and up-to-date list of features is available on the Site. MIRIAD reserves the right to upgrade or modify, at any time and without notice, all or part of these tools and features, without the User being able to object or claim any compensation of any kind.

3.5. Throughout the duration of their Registration, the User has access to their User Account.

3.6. Use of the Services and creation of a User Account require prior Registration on the Site, in accordance with the provisions of Article 4 hereof.

3.7. For any question relating to the Services, Users are invited to contact MIRIAD using the contact details provided in Article 11.1 hereof.

4. Registration and User Account creation procedure

4.1. Access to MIRIAD's Services is exclusively reserved for natural persons holding any type of account, whether free or paid, who have accepted these General Terms of Service.

4.2. Upon Registration, the User undertakes to provide MIRIAD with accurate, up-to-date, honest and sincere information and, where applicable, to provide authentic documents, whether originals or copies. It is forbidden to impersonate a third party, to create multiple accounts, or to register as a User for the benefit or use of a third party.

4.3. The User is required to regularly check all of their data and to make the necessary corrections and modifications online from their User Account. MIRIAD reserves the right to suspend, refuse or invalidate a User's Registration after the fact if MIRIAD has reasonable grounds to believe that the information provided is inaccurate, incomplete, false or fraudulent.

4.4. It is important that the User provides MIRIAD with a valid email address, as any communication sent to that address shall be deemed to have been received and read by the User.

4.5. Clicking to validate the Registration form formalizes irrevocable acceptance of these General Terms of Service. If the Registration is accompanied by a paid Subscription, this click also constitutes confirmation of the Subscription. This validation click constitutes an electronic signature with the same value as a handwritten signature.

4.6. Upon Registration, the User provides a valid email address that will be used to create their User Account. To log in to the Site, the User will receive, with each login attempt, a verification code sent to that email address. This code is personal, confidential, and valid for fifteen (15) minutes from the time it is sent. The User undertakes not to disclose this code to third parties and is solely responsible for the use made of their account.

4.7. MIRIAD reserves the right to suspend, refuse or invalidate a Registration or Subscription request for any reason whatsoever, in particular in the event of non-compliance by the applicant with the provisions of Article 4.3 hereof.

4.8. Computerized records, kept in MIRIAD's IT systems or those of its subcontractors under reasonable security conditions, shall be considered as evidence of the User's Registration to the Services. Information transmitted via the Registration forms and all communications and operations carried out by the User throughout the duration of their Subscription are archived on a reliable and durable medium that may be produced as evidence.

5. Financial terms

5.1. To benefit from the paid Services, the Client must provide a valid means of payment, such as a credit card. Free Services are accessible without payment.

5.2. MIRIAD reserves the right to accept other means of payment, such as bank transfer or direct debit, in particular for annual Subscriptions or for certain Clients, on terms agreed in writing.

5.3. Paid Services are billed in advance, on a monthly or annual basis (hereinafter the "Billing Cycle"). Unless otherwise specified, payments are firm and non-refundable. No refund or credit is granted in the event of early termination of the current Billing Cycle. However, MIRIAD may, at its sole discretion, decide to grant a partial pro rata refund for the unused portion.

5.4. MIRIAD's Services are intended for professional use and are aimed at Clients acting for purposes falling within the scope of their professional activity. Consequently, the right of withdrawal provided for by the French Consumer Code does not apply, except in specific cases expressly recognized by law.

5.5. Subscription fees are exclusive of taxes. The Client is responsible for paying all applicable taxes, duties or levies, unless MIRIAD collects them. In that case, the corresponding amount shall be added to the invoiced amount, in accordance with the applicable regulations.

5.6. Any change of Service offering to a higher tier results in an immediate adjustment of the invoiced amount, calculated pro rata for the period remaining until the end of the current Billing Cycle. Any change to a lower tier shall take effect at the start of the following Billing Cycle.

5.7. If the Client exceeds the storage or quota limits of their Subscription, MIRIAD may restrict certain actions, in particular the addition of new Content or the creation of new collaboration spaces, until the Client deletes the excess Content or upgrades to a higher tier.

5.8. In the event of refusal, failure or absence of payment by the chosen means of payment (credit card, bank transfer, direct debit or any other accepted method), MIRIAD shall inform the Client, who must provide a valid means of payment or regularize the situation within forty-eight (48) hours. Failing this, MIRIAD may suspend all or part of access to the Services. MIRIAD may also terminate the Subscription in case of persistent non-payment.

5.9. In accordance with Article L. 441-10 of the French Commercial Code, any late payment automatically results in the application of penalties equal to three times the legal interest rate in force. In addition, a flat-rate indemnity of forty (40) euros shall be due for each unpaid invoice. MIRIAD also reserves the right to charge the Client for the entirety of recovery costs incurred in excess of forty (40) euros, provided appropriate supporting documents are produced, such as fees from a debt-collection agency.

5.10. The fees for any Services may be modified subject to thirty (30) days' prior notice. MIRIAD declines all liability towards the Client or any third party in connection with any price change.

6. Warranties

6.1. MIRIAD is required to deploy all the means necessary to design and provide the Services to Users. However, MIRIAD does not warrant that the Services will meet Users' expectations.

6.2. MIRIAD provides no warranty other than that of the Services' compliance with this contract and with the description thereof on the Site. MIRIAD shall not be held liable for any direct or indirect damages suffered by the User or by third parties resulting from the use of the tools and features included in the Services.

6.3. MIRIAD undertakes to ensure the operation of the Site and the Services under the best possible conditions of throughput, connection time and continuity, but cannot guarantee that the Services will be available twenty-four (24) hours a day, seven (7) days a week. MIRIAD reserves periods for maintenance, updates or technical interventions that may result in interruptions in access to the Site and Services, but undertakes to limit such interruptions in number and duration.

6.4. Malfunctions or unavailability of the Services resulting from the cases mentioned in Article 6.3 shall not be considered as periods during which MIRIAD fails in its obligations and shall not give rise to any compensation to the User.

7. Intellectual property rights

7.1. All data on the Site, including texts, forms, graphics, logos, icons, images, audio or video clips, photographs, trademarks, software, Site features, and databases included in the Site and Services, are subject to intellectual property rights of which MIRIAD, or third parties having authorized MIRIAD to exploit them, are the exclusive owners. Any unauthorized reproduction or representation of these data constitutes an infringement and shall be prosecuted.

This provision expressly excludes the Content that Users import, upload, annotate or share via the Services, the intellectual property of which remains with the Users or with third parties holding the corresponding rights.

7.2. MIRIAD, as publisher of the Site, grants the User a private, non-collective and non-exclusive right of use over the data referred to in Article 7.1 of these Terms. The User undertakes not to reproduce, translate, adapt, arrange, transform, communicate, represent or distribute, on a permanent or temporary basis, by any means and in any form whatsoever, without the express prior authorization of MIRIAD, all or part of these data, under penalty of incurring civil and criminal liability. MIRIAD expressly objects, under its right to opt out, to the use of software or other robots designed to scrape websites in order to extract information from the Site and the Services in an automated manner.

7.3. "MIRIAD" is a registered trademark belonging exclusively to MIRIAD SAS. The User undertakes not to infringe this trademark and not to use it without MIRIAD's formal prior authorization.

7.4. The Client is responsible for all Content published by its Users and warrants that it holds all necessary rights to publish such Content.

7.5. MIRIAD claims no copyright or other proprietary right over the Content uploaded to the Services. By using the Services, the Client grants MIRIAD a non-exclusive, royalty-free, worldwide license, limited to the duration of the contract plus the technical period necessary for the definitive deletion of the Content, to host, reproduce, display, transmit and technically adapt their Content, solely to the extent necessary to provide the Services to the Client and its Users. This license includes MIRIAD's right to entrust these operations to its technical subcontractors, to the exclusion of any other use. MIRIAD may not, under any circumstances, use the Content for commercial, marketing or artificial-intelligence model training purposes without the express prior consent of the Client.

7.6. The User undertakes not to disseminate via the Services, in any way whatsoever, any Content deemed illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, infringing on the privacy of others, hateful, or having racially, ethnically or otherwise objectionable characteristics, according to the criteria established by MIRIAD, or infringing on the intellectual property rights of a third party. This includes, without limitation, the uploading, publishing, emailing, storage, transmission or making available of any such Content.

7.7. MIRIAD does not monitor Content, but reserves the right to remove any objectionable Content or Content that infringes on the intellectual property of a third party or these Terms.

7.8. The Client acknowledges and accepts that MIRIAD cannot be held liable for the Content published on the Services, and that the Client and its Users may be exposed to objectionable Content as defined in Article 7.6. The User accepts to use the Services at their own risk.

7.9. MIRIAD has no control over, and is not responsible for, the confidentiality of any Content shared by the Client or its Users with others. Users are therefore advised to be cautious when providing personal or sensitive information.

8. Liability

8.1. MIRIAD undertakes to provide the services subject to these General Terms of Service under a best-efforts obligation.

8.2. MIRIAD shall in no case be held liable for the User's use of its Services.

8.3. MIRIAD's liability in connection with the performance of the Services is strictly limited to damages directly caused by a breach of its contractual obligations, to the exclusion of any indirect damages and, in particular, any loss of margin, profit, turnover, clientele, image, investment, performance, files or data.

8.4. MIRIAD's liability in connection with the performance of the Services, for any cause and on any basis whatsoever, is globally limited, all causes, claims and damages combined, to the total amount paid by the User over the last twelve (12) months for the Services.

8.5. In particular, MIRIAD shall not be held liable for any direct or indirect damage suffered by the User or by third parties in the event of fraudulent access to the User Account following a disclosure by the User of their personal identification details.

9. Term and termination

9.1. The Client's Subscription to the Services is concluded for an indefinite term. The Client may terminate it at any time from their User Account or by sending an email to contact@miriad.studio. Termination takes effect at the end of the current Billing Cycle, with the Client retaining access to the Services until that date. In accordance with Article 5.3, no refund is due in respect of the current Billing Cycle.

9.2. MIRIAD has the right to terminate, without notice or compensation, the User's access to the Services if the User fails to comply with the obligations established in this contract or if the User infringes laws and regulations in force, public order or accepted standards of behaviour in connection with the use of the Services.

9.3. Upon termination of this contract, the User reverts to being a free User and their files exceeding the free service quotas may be deleted without notice.

9.4. Upon termination, the User's personal data and information shall be retained for the following periods:

  • data strictly necessary for the provision of the Services shall be deleted within a maximum period of thirty (30) days following termination, subject to any contrary legal obligations;
  • accounting and billing data shall be retained for a period of ten (10) years from the close of the financial year, in accordance with Article L. 123-22 of the French Commercial Code;
  • data necessary to evidence a right or contract shall be retained for the duration of applicable statutory limitation periods, i.e. five (5) years pursuant to Article 2224 of the French Civil Code.

9.5. MIRIAD may temporarily suspend the provision of all or part of the Services in the event of force majeure, in accordance with Article 1218 of the French Civil Code. If the case of force majeure continues beyond sixty (60) days, either party may terminate the contract by operation of law, by written notification to the other party. In that case, sums paid in advance by the Client shall be refunded pro rata for the unused period.

10. Personal data and cookies

MIRIAD ensures that Users' personal data are collected and processed with respect for privacy, in accordance with French Law n° 78-17 of January 6, 1978 on Data Processing, Data Files and Individual Liberties, as amended, as well as Regulation (EU) 2016/679 of April 27, 2016 ("GDPR").

The data controller is MIRIAD SAS, whose contact details appear in the preamble hereof.

10.2 Privacy Policy

The conditions under which MIRIAD collects, uses, retains and protects Users' personal data are described in detail in the Privacy Policy accessible on the Site, which forms an integral part of these General Terms of Service.

The Privacy Policy specifies in particular:

  • the categories of personal data collected;
  • the purposes and legal bases of the processing carried out;
  • the recipients of the data, including technical subcontractors;
  • any transfers of data outside the European Union and the applicable safeguards;
  • the data retention periods;
  • Users' rights and the methods for exercising those rights;
  • the security measures implemented by MIRIAD.

By registering on the Site, the User acknowledges having read the Privacy Policy.

10.3 Exercising rights

For any question relating to the processing of their personal data or to exercise their rights (access, rectification, erasure, restriction, portability, objection, withdrawal of consent, post-mortem directives), the User may send a request to contact@miriad.studio.

The User also has the right to lodge a complaint with the French Data Protection Authority (CNIL) at www.cnil.fr.

10.4 Cookies

The Site uses strictly necessary cookies for its operation as well as marketing cookies subject to the User's prior consent. On the User's first visit, a banner allows them to accept or refuse non-essential cookies. The User may change their preferences at any time via the "Manage cookies" link available at the bottom of every page of the Site.

The detailed terms of use of cookies are described in the Cookie Policy accessible on the Site.

10.5 Minors

Persons under the age of sixteen (16) are not allowed to use MIRIAD's Services.

10.6 Sharing of Content and visibility of annotations

The User may control access to their Content by limiting it to authenticated Users with whom they wish to share it explicitly. The comments and annotations they provide when reviewing Content, including their first and last name and a timestamp, are visible to all persons with whom the Content is shared. Notifications may be sent to other reviewers to inform them of comments and actions taken by other participants.

11. Miscellaneous

11.1 Contact

To obtain information and answers to their questions, the User may contact MIRIAD's support team by email at contact@miriad.studio. Requests are neither accepted nor handled by phone.

11.2 Entire agreement and modification of the Terms

These Terms set out the entire obligations of MIRIAD and the User. MIRIAD may modify the terms hereof unilaterally at any time, in particular in the event of technical, legal or case-law developments, or upon the introduction of new Services. The new clauses shall be binding for all future relations between the parties, and only the updated version shall be authoritative. The Terms in force are always accessible online on the Site.

11.3 Partial invalidity

In the event of the invalidity of any provision hereof under any legal or regulatory provision, current or future, or under a final court decision rendered by a competent court, said provision shall be deemed unwritten. However, all other provisions hereof shall remain in force and continue to bind the parties.

11.4 Governing law and language

In the event of a dispute, only the French-language version of these General Terms of Service shall be authoritative for their interpretation. These Terms are governed by French law, both as to substance and form, and are valid worldwide. In the event of a dispute relating to the performance or interpretation of the provisions of this contract, the parties shall endeavour to settle it amicably prior to any legal action.

11.5 Jurisdiction

IN THE EVENT OF A PERSISTING DISAGREEMENT, THE COMMERCIAL COURT OF PARIS, TO WHICH THE PARTIES EXPRESSLY ATTRIBUTE JURISDICTION, SHALL HAVE EXCLUSIVE JURISDICTION TO HEAR ANY DISPUTE RELATING TO THE INTERPRETATION OF THESE GENERAL TERMS OF SERVICE OR TO THE PERFORMANCE BY THE PARTIES OF THEIR OBLIGATIONS HEREUNDER.
